A.           

General

1.    

Veri-park (“We”, “Us”, “Our”)provides automatic number plate recognition services (“ANPR”) to sites that offer customer parking.

2.    

If You create an account with Us (“an Account”), you will be entitled to use any car park that has Our ANPR equipment and then pay for Your parking by any of the methods offered by Us (“the Service”)

3.    

Upon Your creation of an Account, You will be registered touse the Service as a “Registered User” (which will be confirmed by email) and You will be bound by these Booking Conditions which will govern Your use of the Service. Additionally, You will be bound by the terms and conditions of use made from time to time by the relevant car park operator that manages the car park in which You are parking. A copy of the car park operator’s terms and conditions will be displayed on-site at the car park, or available on their website.

4.    

National Car Parks Limited (“NCP”) has agreed to provide access to the Service through its website at www.ncp.veripark.co.uk. This should not, however, be construed as creating any partnership, agency, joint venture or other agreement between Us and NCP in relation to the provision of the Service and does not create any contract or agreement between You and NCP. 

5.    

If any term in these Booking Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed deleted and the remaining Booking Conditions shall remain in full force and effect.

6.    

Any words in these Booking Conditions following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

7.    

You are not entitled to assign or transfer Your status's a Registered User to any third party.

8.    

Our Booking Conditions are subject to variation from time to time, and Our current Booking Conditions are published on our website www.veri-park.co.uk.

9.    

Your attention is particularly drawn to section H (Exclusions and Limitation of Liability) of these Booking Conditions.

B.           

Registering for the Veri-park Service

1.    

In order to use the Service, You must create an Account with Us through the Company website at www.veri-park.co.uk or at www.ncp.veripark.co.uk

2.    

Upon registering for the Service, You will be responsible for providing Us with Your correct information, including Your name, address, vehicle registration number, mobile telephone number, and method of payment details.You will also be responsible for notifying Us of any any subsequent changes to Your details, which should be given to Us as soon as possible.

3.    

When You use the Service to pay for car parking, You are responsible for ensuring that You have correctly entered the relevant location code indicated on the parking bay or machine which is designated to the parking space in which You have parked. If You inform Us of the incorrect location code, You will be responsible for any Parking Charge Notices or any form of parking enforcement or other liabilities that arise subsequently.

4.    

A payment for car parking “a Booking” is deemed to have taken place when payment is made electronically through our website at www.veri-park.co.uk or www.ncp.veripark.co.uk. We reserve the right not to fulfil or acknowledge Your Booking if;

a.    

The payment card is declined for whatever reason;

b.    

It is established that the payment card has been used fraudulently or without the cardholder's permission;

c.    

You are under the age of 18; or

d.    

Your electronic device suffers any connection problems during the Booking process.

In such circumstances, You will remain responsible for paying the car parking charges due to the relevant car park operator and You acknowledge that We accept no responsibility or liability in this regard for any Parking Charge Notice or other enforcement action that is taken against You by the relevant car park operator or any other authorised person in these circumstances.

5.    

Your registration to use the Service does not guarantee You a parking space at any time with any car park operator or at any car park, and for the avoidance of doubt parking spaces available for use in connection with  the Service are strictly 'subject to availability' only.

6.    

You acknowledge that these Booking Conditions relate specifically to the Our Service and that You shall be bound by and adhere to the respective terms and conditions of the car park operators in the car parks that You use.

7.    

You acknowledge that on each Booking, We shall process Your personal data, including disclosing Your card issuer information to Your bank for the purpose of processing and confirming Your payment, and in accepting these Booking Conditions by creating an Account to become a Registered User, you hereby consent to this taking place.

C.           

Payment for the Service

1.    

You are responsible for all charges (including VAT) arising out of the use of the Service. These shall include any and all charges for:

a.    

Use of an electronic device, including the cost of making voice calls, sending and / or receiving email messages, sending GPRS data and any charge levied by Your service provider according to their terms and conditions;

b.    

Parking Charges, including the actual charge for parking fees payable to a car parking operator, fees payable to Us for the provision of the Service, any and all other charges levied by a car park operator in connection with Your use of the Service and any and all charges levied by Your payment card issuer.

2.    

If You register to use Our Flexi-PARK service, Your acceptance of these Booking Conditions confirms Your agreement and authorisation for Us to obtain funds, including pre-authorisation, on Your behalf from the payment card that You register with Us for the purposes of the Flexi-PARK service for the payment of Parking Charges incurred when You use this Service.

3.    

You acknowledge that if multiple vehicle registration numbers are registered to Your Account, charges will apply for each vehicle using the Service.

4.    

Should You fail to extend Your parking period when paying in advance for parking, We accept no responsibility for any subsequent issuance of a Parking Charge Notice, or other parking enforcement actions being taken against You.

5.    

No credits or refunds will be given for periods of time during which a season is not used such as holidays and illness.

6.    

Advance payment Services can be cancelled at any time through the Web site.No credits or refunds will be given for any pre-paid cancelled Service, including season tickets, save for where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply and We receive written notification of cancellation within 14 days from the date on which payment is made for the relevant Service and You have not, in fact, utilised the relevant Service within that cancellation period..

7.    

Season Tickets can be assigned to multiple vehicles owned by You and registered to Your account.However only one vehicle is permitted to park at any one time on the season ticket.Should multiple vehicles from the same Account be detected this will be deemed to be a contravention and a Parking Charge Notice will be issued if no means of payment is detected for the additional vehicles.

D.           

Availability and Suspension of the Service

1.    

We will use our reasonable endeavours to maintain the continuous operation of the Service, however We do not guarantee uninterrupted access to the Service, and You accept that Your access to the Service may be restricted for occasional repairs, maintenance or upgrades, for example, of Our website.

2.    

At our sole discretion We may suspend, or limit access to Your Account where You are in breach of any of the terms of these Booking Conditions. You will be notified in writing, either by post or by email, that Your Account has been suspended, and You may need to provide Us with additional information in order for Us to reactivate Your Account.

3.    

Notwithstanding our general right to suspend Your Account, We reserve the right to automatically suspend or limit access to Your Account without prior notice for the following reasons;

a.    

Unauthorised or suspected fraudulent use of Your registered credit card or Your Account;

b.    

Consistent or material breach of these Booking Conditions;

c.    

Where We are ordered by a Court or Government Body empowered to impose such an order;

d.    

Your failure to pay for parking charges imposed by Parking Charge Notices or other enforcement; or

e.    

Your failure to provide any of Your information which We may request from time to time;

4.    

Without prejudice to our rights granted pursuant to the provisions of clause 3 of this section D of the Booking Conditions,, where You are in breach of these Booking Conditions, our ability to suspend, limit or otherwise terminate Your Account shall not exclude other remedies in damages or injunctive relief We may otherwise have against You.

E.           

Termination of the Service by Us

1.    

We shall be entitled to suspend Your Account and terminate provision of the Service to You immediately on serving written notice on You if:

a.    

You do not pay any overdue sums outstanding within 7 days of Our serving notice in writing on You of the same;

b.    

the supply of the Service (including Our Flexi-PARK service) to You may (in our reasonable opinion) expose Us to the risk of litigation or other civil proceedings;

c.    

You commit any other material or repeated breach of these Booking Conditions and, if it is capable of being remedied, You fail to remedy such breach within fifteen (15) days from the date of service of the first written notice specifying the nature of the breach and requesting its remedy; or

d.    

You become bankrupt, enter into an arrangement with Your creditors, or have a receiver or administrator appointed over all or any part of Your assets.

2.    

We may, at our sole discretion and without prejudice to any other rights We may have pursuant to this section E of these Booking Conditions, suspend Your Account and the provision of the Service(s) to You immediately on service of written notice on You if

We are obliged to comply with an order, instruction or request of government, an emergency services organisation or other competent administrative or regulatory authority which affects Our ability to provide the Service.

F.           

Termination of the Service by You

 

Your use of the Service is voluntary and We do not require that You use the Service at any specified frequency or on a minimum number of occasions while You are a Registered User. You will only be charged for the Service if You use it.

If You wish to cease being a Registered User and for Your Account to be deleted, please contact us in writing at the address set out in clause 9 of section A of these Booking Conditions.

 

G.           

Situations or Events Outside Our Reasonable Control

There are certain situations or events which occur which are not within our reasonable control, for example, industrial disputes, failure to supply utilities, war or compliance with any governmental order. Where one of these situations occurs We will use Our reasonable endeavours to recommence performing the Services as soon as the relevant situation has been resolved. In such circumstances there may be a delay (sometimes a substantial delay) before We can start or continue performing the Services and by accepting these Booking Conditions You acknowledge and agree that in any such situation We shall have no such liability to You for any delay or failure to provide the Service.

H.           

Exclusions and Limitations and Liability

1.    

We will not be liable (whether in contract, tort (including negligence) or otherwise) to You for:

(i) loss or destruction of data, profits, savings or potential contracts;

(ii) any indirect or consequential loss or damage to profits, savings or potential contracts; or

(iii) any indirect or consequential loss or damage, costs, expenses or other claims for compensation relating to the use or the inability to use or in any other way related to or in connection with the provision of the Service as a result of any matter outside of Our reasonable control or where We are entitled to suspend the availability of the Service to You in accordance with these Booking Conditions.

2.    

We undertake to use reasonable care in maintaining and monitoring our systems for the provision of the Service but, where We use such reasonable care, We will not be liable for any damages or losses, whether direct or indirect, that You may suffer as a result of Service or systems failure caused by systems or services within our reasonable control and which result in our systems or the Services being unavailable for You to use. Where such systems or Service failure is caused by systems or services not within our control (as described at section G of these Booking Conditions), We will not be liable for any damages or losses whatsoever.

3.    

We will not be liable for the loss of any emails sent to mailboxes of any configuration or sent from email accounts related to Services provided by Us. We will not be responsible for the contents or loss of any email stored in mailboxes provided by Us.

4.    

We will not be liable to You for any indirect, punitive, special, incidental or consequential damage in connection with or arising out of this Agreement (including loss of profits, loss of revenue, loss of goodwill, loss of reputation whatsoever incurred by either party), however it arises, whether for breach of this Agreement, including breach of warranty or tort (including negligence).

5.    

We will not be liable to You for any loss or damage which You may suffer as a result of using the Service including, without limitation, losses resulting from parking fines rightfully applied by any Authority under the Road Traffic Act 1984, the Road Traffic Act 1991, the Traffic Management Act 2004, other relevant parking legislation or common law. In no event shall We, Our affiliates, subsidiaries, agents, suppliers and/or subcontractors be liable whatsoever.

6.    

We accept liability for death or personal injury caused by our negligence without limit and none of the limitations contained in this section H of the Booking Conditions apply to such liability.

7.    

You agree to indemnify and hold Us, Our subsidiaries, affiliates, officers, directors and employees harmless from any claim or demand (including legal fees) made or incurred by any third party due to or arising out of Your breach of this Agreement or the documents it incorporates by reference, or Your breach of any law or the rights of a third party relating to Your use of the Service.

8.    

While We make regular maintenance updates to our systems, firewalls and services, it is Your responsibility to ensure that Your system is adequately protected from viruses, worms or other disabling devices. We will not be liable for any damages or losses, whether direct or indirect, that You may suffer as a result of any virus, Trojan horse or other disabling device that affects services or systems, whether under our control or otherwise, caused by Your failure to adequately protect Your system.

9.    

You expressly acknowledge and agree that the contract created by Your acceptance of these Booking Conditions is between You and Us only and that, while You may use the website at www.ncp.veripark.co.uk for the purpose of using the Service, NCP shall not be liable to You in any event in relation to any failure by Us to provide the Service or otherwise.

10. 

You and We expressly exclude any rights of third parties who may otherwise be entitled to enforce the terms of the Agreement as if they were a party to it.

11. 

Save as expressly stated in these Booking Conditions, Your statutory rights relating to the use of reasonable care and skill in the provision of the Service are not affected by the terms and conditions of the Agreement. For further information about Your statutory rights contact Your local authority’s Trading Standards Department or Citizen's Advice Bureau.

 

I.          Complaints Procedure

 

1.    

All complaints must be made to Us by telephone within 3 days of the date on which the relevant event occurred, and then followed up in writing (email or letter), which must be received by Us within 14 days from and excluding the date on which Your initial complaint is made to be valid.

2.

3.    

You should expect to receive a reply within 10 working days of Our receipt of Your complaint. You will be informed of any delay and the reason for it if one should arise.

4.    

As most complaints require investigation We apologise that although We will happily discuss Your complaint with You We are unable to resolve Your complaint via the telephone and will require it in writing.

5.    

If Your vehicle sustains damage while in a car park or if you lose Your vehicle or any of your possessions from Your vehicle while it is in a car park You should contact the relevant car park operator and follow the complaints procedure set out in their standard terms and conditions from time to time in force.

NCP Car park Terms and Conditions

Please read these Terms and Conditions carefully. They relate to your use of our car parks.

1. Definitions

In these terms and conditions:

a.    

"us” “we” and “our” means National Car Parks Limited whose registered office is at Saffron Court, 14B St. Cross Street, London, EC1N 8XA; and

b.    

"vehicle" means the vehicle which enters into the Car Park and includes any mechanical device on wheels or tracks, its equipment and accessories.

2. Our liabilities

We are responsible for using reasonable skill and care in the operation of the Car Park. However, that responsibility is limited and we are only liable as set out in (a), (b) and (c) below and have no other liability to you.

a.    

We are liable for any death or personal injury arising from our negligence and the negligence of our servants or agents. Nothing in these Terms and Conditions shall exclude that liability.

b.    

We are liable for the loss of or damage to or theft of or from, or temporary failure to deliver any vehicle or property belonging to you arising from our negligence and the negligence or dishonesty of our servants or agents.

c.    

Except as set out in condition 2(a), we shall only be liable for losses which were:

a.    

reasonably foreseeable at the time of entering into a contract with you on the basis of these Terms and Conditions; or

b.    

incurred as a result of our negligence or the negligence of our servants and agents; or

c.    

incurred as a result of our failure to comply with these Terms and Conditions.

Please note that although we have the above responsibility to you, you should bear in mind that public car parks are open to everyone. We cannot guarantee that people will not enter into the Car Park and cause damage to property or engage in criminal behaviour. Accordingly, you park in our Car Park at your own risk. We do not guarantee the security of your vehicle and/or its contents.

3. Claims and complaints procedure

a.    

If your vehicle sustains damage while in the Car Park or if you lose your vehicle or any of your possessions from your vehicle while it is in the Car Park, you should:

a.    

immediately either inform a member of our staff at the Car Park or contact our staff at the control room for the Car Park using the intercom system or otherwise notify our Customer Services Team on 0345 050 7080

b.    

in the case of theft, immediately inform the police;

c.    

notify your insurers promptly.

b.    

If you consider that you have a claim against us you must write to our Customer Services Team within seventy-two (72) hours of discovery of the loss, damage or theft giving full details of the occurrence. Before submitting a claim we ask that you satisfy yourself that the subject matter of your claim lies within the areas of our responsibility set out in condition 2.

c.    

If you wish to make a claim or to register a complaint about the service that you have received please write to the Customer Services Team at National Car Parks Limited, Saffron Court, 14B St Cross Street, London, EC1N 8XA.

4. Security of your vehicle

a.    

Unless requested by a member of our staff not to do so, please ensure that before you leave the Car Park:

a.    

your vehicle is securely locked;

b.    

all of the windows of your vehicle are securely closed;

c.    

if your vehicle is fitted with a vehicle alarm, steering lock, or similar device, that it is engaged.

b.    

Where CCTV cameras are installed in any of our Car Parks they are used to assist in the proper running of the Car Park. The CCTV cameras may also act as a deterrent to criminal activity. We are obliged by law to display signage in the Car Park advising that CCTV cameras are in operation. However, we do not make any representation as to the extent of coverage provided by the cameras and no guarantee is given as to the security of your vehicle in Car Parks where CCTV is installed.

5. Possessions

a.    

Wherever possible please take your possessions with you when you leave your vehicle.

b.    

If you do leave possessions in your vehicle, you do so at your own risk. Therefore, please do not leave them where they are visible. You should lock them in the boot or in an equivalent, secure, out-of-sight storage area within your vehicle.

c.    

You are reminded that your motor insurance policy may not cover possessions in your vehicle. It may be possible to arrange separate insurance cover for such possessions and we encourage you to do so.

6. Courtesy to other customers

If you damage another customer's vehicle you should report the matter to us giving the registration numbers of both vehicles. You must also notify the owner of the other vehicle by leaving a note on the windscreen of their vehicle providing your vehicle and contact details and any other details that are relevant to the incident.

7. Safety in the car park

a.    

Please drive carefully in the Car Park and obey the directional and other signs.

b.    

Car parks can be dangerous. After you have parked your vehicle you must proceed immediately to the nearest passenger lift, staircase or exit, following the recommended route (if any). You must not, in any circumstances, exit the Car Park by walking under a vehicle exit barrier.

c.    

Do not delay your exit from the Car Park and please supervise your children and pets who must be kept under your control at all times in the Car Park.

d.    

For safety reasons you are not entitled to remain in your vehicle in the Car Park or elsewhere in the Car Park except for the purposes of parking or removing your vehicle.

8. Tickets and coin chips

a.    

The ticket or coin chip issued to you is only valid for the vehicle in respect of which it is issued. Neither a coin chip nor a Season Ticket entitles you, unless otherwise specified, to any particular space in the Car Park or to priority over other customers. Upon entry to the Car Park, if you are unable to find a space for your vehicle then you should exit immediately to prevent any parking charges from arising.

b.    

In pay and display car parks you must do one of the following:

a.    

purchase a parking ticket before leaving your vehicle in the Car Park and ensure that the parking ticket is clearly displayed in the windscreen of the vehicle (for the avoidance of doubt, sales/credit card receipts are not classed as a valid parking ticket and will not be accepted as evidence of payment).

b.    

clearly display in the windscreen of the vehicle a Season Ticket valid for the Car Park and comply with the Season Ticket’s terms and conditions;

c.    

prior to exiting the Car Park, purchase the time you require to use the Car Park using the pay by mobile service in accordance with its terms and conditions (available on http://www.ncp.co.uk/parking-solutions/pay-for-your-parking-by-mobile/).

In all other car parks you should take your ticket or chip coin with you to make it more difficult for someone else to remove your vehicle without your consent.

c.    

We reserve the right to refuse to release any vehicle for which a valid and current ticket, coin chip or Season Ticket, cannot be produced, until we have made reasonable enquiries. Failure to produce your ticket or coin chip will therefore delay your departure.

d.    

If you cannot produce your ticket, coin chip or Season Ticket on departure you will be charged at the full 24 hourly rate for each 24 hour period or part thereof that your vehicle has been in the Car Park. An additional charge of £2.50 will be levied to recover the replacement cost of any lost chip coin. The duration of the vehicle’s stay within the Car Park will in such circumstances be finally determined by us.

e.    

Should you later locate your lost chip coin you can return it to NCP Ltd., Saffron Court, 14B St Cross Street, London, EC1N 8XA and you will be refunded £2.50 by BACS transfer. No refund will be made for any parking charges paid in respect of a lost ticket, chip coin or Season Ticket.

9. Parking contraventions

a.    

It is important to the effective management of the Car Park:

a.    

that you do not park within a bay designated for a specific purpose when you are not entitled to do so (e.g. parking in a space for the disabled without an appropriate disability badge displayed);

b.    

that you park within a marked bay;

c.    

that, in relation to pay and display sites, you comply with the requirements set out at paragraph 9b and your vehicle does not remain in the Car Park for longer than the duration allocated and paid for; and

d.    

that you comply with all signs in the Car Park.

b.    

If you do not comply with these requirements then we may issue you with a Parking Contravention Charge Notice. Specific details as to the sum of the Parking Contravention Charge Notice are available in each car park or may be obtained from our Customer Services team on 0345 050 7080. We issue such notices because we will incur a loss as your actions will prevent the efficient management of the Car Park. The amount of the Parking Contravention Charge represents a genuine pre-estimate of the additional expense incurred by us as a result of your incorrect parking.

c.    

If you incur a Parking Contravention Charge a Notice will be given to you or attached to your vehicle. If payment is received within 14 days of the Parking Contravention Charge being issued, the amount of the charge will be reduced in accordance with the provisions of the Notice.

d.    

Payment may be made by one of the methods detailed in the "Instructions for Payment" section of the Parking Contravention Charge Notice. Please quote your vehicle registration number and Parking Contravention Charge Notice number when making payment.

e.    

Failure to pay the Parking Contravention Charge within 28 days of the Parking Contravention Charge Notice being issued will result in us being entitled to take legal action against you for breach of contract, and may result in court proceedings.

f.     

We may request and obtain your (or the vehicle owner’s) personal details from the DVLA should you fail to make payment within 28 days. We will use your personal details only for the purpose of taking steps to recover payment of the Parking Contravention Charge.

g.    

If you consider that we have wrongly issued a Parking Contravention Charge Notice you may appeal, by writing to the address detailed on the Parking Contravention Charge Notice itself. We will then consider your appeal and notify you of our decision. Please note that if your appeal is made within 28 days of the date of issue of the Notice, your payment period will be extended by the time taken to determine the appeal.

h.    

The use of this Car Park may be regulated by traffic orders or byelaws under which a penalty may be payable for failing to comply with these terms and conditions or the requirements of the relevant order or byelaw. In such circumstances, separate notices specifying the relevant order or byelaw will be displayed in the Car Park.

i.     

If the equipment in the Car Park is damaged by you, your vehicle or the passengers in the vehicle then, except where the damage arises from our negligence, we will seek to recover the cost of that repair and associated administration costs from you.

10. Access, re-location of vehicles

a.    

We reserve the right to refuse the admission of any vehicle to the Car Park for any reason whatsoever.

b.    

We reserve the right to move vehicles within the Car Park, by driving or otherwise, using whatever method we consider appropriate (even if, as a consequence, damage is caused to your vehicle) to such extent as is reasonably necessary for the purposes of safety to persons or property to avoid obstruction or for the more efficient arrangement of our parking facilities at the Car Park.

c.    

We additionally reserve the right, where the Car Park has to be closed either permanently or temporarily in whole or in part or has to be evacuated in cases of emergency, to remove any vehicle at any time to any other reasonably convenient Car Park within our control or otherwise as may be expedient.

d.    

To the extent that it may be necessary to do so in the exercise of the rights conferred upon us under this condition, we reserve the right to drive or otherwise take your vehicle onto a public highway. In doing so we will take reasonable care of the vehicle.

11. Tariff

The parking fees payable by you (as varied from time to time) shall be as displayed on the tariff board at the Car Park. You are obliged to pay the fee and to comply with any instructions on the tariff board.

12. Payment and disposal of abandoned vehicles

a.    

If you intend to leave your vehicle in the Car Park for more than 28 days we recommended that you notify us in writing of your intention to do so.

b.    

We reserve the right to sell any vehicle which we reasonably believe to have been abandoned and shall be entitled to regard as abandoned any vehicle which has been in the Car Park for more than 28 days without prior notification and which is not known to be covered by a current valid Season Ticket.

c.    

Before proceeding with the disposal of abandoned vehicles, we will:-

a.    

make reasonable enquiries with a view to identifying and contacting the registered owner of the vehicle in question;

b.    

give 28 days notice of our intention so to do to the registered owner by pre-paid post addressed to the registered owner’s last known address.

d.    

Abandoned vehicles will be sold by auction whenever practicable and the proceeds of sale will be applied in and towards satisfaction of all sums owing to us together with the expenses of sale and in connection with such sale we shall be entitled to charge reasonable garage charges in respect of the period during which the vehicle is in our possession.

e.    

Any balance of these sales proceeds remaining after satisfaction of such sums shall be held by us on behalf of the registered owner of the vehicle and paid over on proof of entitlement.

13. Prohibited activities

a.    

You must not tow any vehicle into the Car Park except as part of the services offered by persons authorised by us and no work on nor cleaning of vehicles by you or your agent other than with our prior specific permission is permitted in the Car Park. In the event of vehicle breakdown you must contact the attendant to ensure that your vehicle removal or repair is organised without causing disruption, damage or danger to any other person or property in the Car Park.

b.    

No activity in connection with the selling, hiring or other disposal of vehicles or goods or services shall be carried out in the Car Park without our prior specific written permission.

 

14. Variation of the terms and conditions
